Massy Sells CAT Business for $16M Cash

Trinidad conglomerate Massy Holdings sells its Caterpillar dealership business to MACORP for $16 million to redeploy capital into core assets.

PORT OF SPAIN, Trinidad — Conglomerates holding onto non-core industrial assets out of sheer habit is a quick way to drag down long-term return on capital.

Trinidad-based Caribbean giant Massy Holdings Ltd. (JSE: MASSY) is taking the cold, rational route instead.

The company announced that its subsidiary, Massy Machinery Ltd., has officially executed an Asset Purchase Agreement to divest its Caterpillar (“CAT”) dealership and line of business in Trinidad and Tobago for US$16 million.

From an operational standpoint, handing off the dealership to an entity that runs a dedicated, multi-country CAT platform makes total sense. MACORP’s regional scale, established CAT operations and specialist capabilities provide a stronger strategic fit for Massy’s Trinidad CAT business, positioning it within a larger, dedicated regional CAT platform, subject to completion of the transaction. The transaction will allow Massy’s strategy to redeploy capital towards the Group’s longer-term strategic priorities. The consideration is US$16 million. The total loss on sale is expected to be approximately US$9.8 million, a significant portion of which relates to employee severance.

Taking a US$9.8 million loss on a US$16 million deal looks harsh on a quarterly income statement, but it highlights how expensive workforce restructuring and asset write-downs can be during heavy industrial exits.

Massy is taking the financial hit upfront to clean its balance sheet and exit a capital-intensive sector that no longer fits its primary growth goals.

The transaction isn’t fully finalized yet. Closing remains subject to customary regulatory approvals in Trinidad and Tobago, including anti-monopoly and competition reviews.

Once cleared, Massy can redirect those proceeds straight into its expanding grocery retail, healthcare, and consumer goods distribution portfolios across the Caribbean and Latin America.

For MACORP, snapping up the Trinidad territory gives it near-total dominance over Caterpillar sales, rentals, and service support in the southern Caribbean energy and construction sectors.

It’s a classic win-win divestiture: Massy dumps a non-core headache and frees up cash, while MACORP stacks up more scale in its exact core domain.
